MoonLead Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of MoonLead, a lead-generation platform for residential electrical contractors, operated by Henoxa Solutions ("MoonLead", "we", "us"). By creating an account, completing checkout, or using any part of the Service, you ("Client", "you") agree to be bound by these Terms.

If you do not agree, do not use the Service.

2. Description of Service

MoonLead provisions a branded landing page and interactive estimator/quoting tool for residential electrical contractors, designed to convert paid advertising traffic (Google Ads, Local Services Ads) into qualified quote requests ("Leads"). The Service includes:

• A branded landing page hosted at a MoonLead subdomain (getmoonlead.com/e/[your-slug])
• An interactive estimator (RFQ tool) for capturing homeowner project details
• An admin dashboard for viewing and managing Leads and pricing rules
• Free-standing calculator tools (voltage drop, conduit fill, box fill, materials list) that may also capture contact information from visitors

During the current phase of the Service, landing pages are provisioned manually by our team following payment (typically within 12 to 24 hours), rather than instantly or through self-serve signup.

3. Eligibility

The Service is intended for licensed or otherwise legitimately operating residential electrical contracting businesses. It is a business-to-business service; it is not intended for personal, family, or household use, and you represent that you are entering these Terms on behalf of a business.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

5. Subscription Plans and Pricing

5.1 Founding Member Rate. For a limited number of early clients, MoonLead offers a founding-member rate of $99/month, locked for twelve (12) months from the date of first payment, after which the account converts to the then-current standard rate unless otherwise agreed.

5.2 Standard Rate. Following the founding-member period, the standard rate is $149/month, plus a one-time setup fee (currently $299 for new standard-tier clients) covering initial page provisioning.

5.3 Changes to Pricing. We may change pricing for new subscriptions at any time. Changes to pricing for your existing active subscription will be communicated in advance and will not retroactively alter your locked founding-member rate during its lock period.

5.4 Billing. Subscriptions bill on a recurring monthly basis until cancelled. You authorize recurring charges to your chosen payment method until you cancel.

6. Payment Processing

All payments are processed by Creem, acting as Merchant of Record. This means Creem, not MoonLead directly, is the seller of record for your subscription, and is responsible for payment processing, applicable tax collection and remittance (VAT, sales tax, etc.), and related compliance. Your payment card details are handled by Creem and are not stored on MoonLead's own servers. Use of the Service is also subject to Creem's own terms as they apply to the checkout process.

7. Cancellation and Account Closure

7.1 Self-Serve Cancellation. You may cancel your subscription at any time through the Billing & Subscription link in your admin dashboard, which opens Creem's customer portal. Cancellation takes effect at the end of your current billing period; you retain access until then.

7.2 Account Closure. You may independently request to close your account entirely through the Close Account option in your dashboard. This deactivates your public landing page and estimator, and is logged for our records. Closing your account cancels any active subscription at the end of the current billing period; it does not itself trigger a refund.

7.3 Reactivation. To reactivate a closed account, you must contact support. Founding-member pricing is not guaranteed to be preserved upon reactivation.

8. Refunds

Refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference.

9. Your Content and Branding

You retain ownership of the business information, logo, brand colors, and other materials you provide for your landing page ("Client Content"). You grant MoonLead a license to use, display, and reproduce Client Content solely as necessary to provide the Service (i.e., to build and operate your landing page). You represent that you have the right to provide any Client Content you submit, including any logo or branding assets.

10. Leads

10.1 Ownership. Leads submitted through your landing page and estimator belong to you. MoonLead does not sell, share, or repurpose your Leads for any other client or third party.

10.2 Our Role. With respect to Lead data, MoonLead acts as a data processor on your behalf; you are the data controller. See our Privacy Policy and, where applicable, our Data Processing Agreement for details on how Lead data is handled.

10.3 No Guarantee. We do not guarantee any specific volume, quality, or conversion rate of Leads. Lead generation outcomes depend on factors outside our control, including your existing ad spend, market conditions, and service area.

11. Acceptable Use

You agree not to:

• Use the Service for any business other than legitimate residential electrical contracting services
• Submit false, misleading, or fraudulent business information
• Attempt to access another client's account, Leads, or data
• Use the Service to send unsolicited communications (spam) to Leads or any other party
• Interfere with or disrupt the Service, including through excessive automated requests
• Use the free calculator tools or estimator to scrape, harvest, or aggregate data at scale

We may suspend or terminate accounts that violate this section.

12. Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. Landing pages are provisioned manually during the current phase of the Service; provisioning times (currently estimated at 12 to 24 hours) are estimates, not guarantees.

13. Intellectual Property

The MoonLead platform, including its underlying software, design, estimator logic, pricing engine, and calculator tools, is owned by MoonLead and protected by applicable intellectual property laws. These Terms do not grant you any rights to MoonLead's underlying technology beyond your right to use the Service as provisioned.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Calculator tools (voltage drop, conduit fill, box fill, materials list) are provided as reference aids for licensed professionals and do not substitute for independent verification against the National Electrical Code (NEC), local code requirements, or professional judgment.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONLEAD'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO MOONLEAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. MOONLEAD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST LEADS.

16. Indemnification

You agree to indemnify and hold MoonLead harmless from claims arising out of your Client Content, your use of the Service in violation of these Terms, or your provision of services to your own customers/Leads.

17. Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, or fraudulent or abusive activity, with notice where reasonably practicable.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of the Service after changes take effect constitutes acceptance.

19. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Nigeria.
